These Terms and Conditions ("Terms") govern the provision of specialized infrastructure remediation, fire safety, and environmental maintenance services by IsoGuard Limited ("The Service Provider") to the entity named in the Order Form ("The Client").

1. DEFINITIONS
"Services": The remediation, cleaning, auditing, and maintenance services specified in the Client’s selected Subscription Tier (BASE, PRO, PRO+, or MAX).

"Premises": The data centre, server room, or critical facility where Services are to be performed.

"Hardware": Physical goods supplied by IsoGuard (e.g., Fire Extinguishers, Air Filters, Pest Monitoring Blocks).

"Uptime Protocols": The Service Provider’s operational methodology designed to minimize risk to active infrastructure.

2. THE SERVICES
2.1 Scope: We shall provide the Services in accordance with the selected Subscription Tier.

2.2 Standard of Care: Services will be performed by security-cleared personnel using anti-static (ESD) equipment and HEPA-filtration systems in accordance with ISO 14644-1 standards.

2.3 Sub-Contracting: For specialist works (e.g. Fire Suppression servicing or HVAC maintenance under the MAX Tier), we reserve the right to utilise vetted, accredited sub-contractors. IsoGuard remains the primary point of accountability.

2.4 Zinc Whiskers: While we utilise specialist extraction techniques, the Client acknowledges that Zinc Whisker remediation involves the disturbance of microscopic particles. We are not liable for pre-existing zinc contamination that becomes airborne due to airflow prior to our arrival.

3. FEES, SUBSCRIPTIONS & OVERAGES
3.1 Retainer Fees: Monthly subscription fees are payable in advance by Debit Card, Credit Card, Direct Debit or Standing Order on the 1st of each month.

3.2 Fair Use & Overages: Subscription pricing is based on a standard infrastructure footprint defined as:

Area: Up to 250m².

Air Conditioning (AC) Units: Up to 4 Units.

Fire Extinguishers: Up to 4 Units.

Exceeding Limits: Where the Client’s infrastructure exceeds these limits, Overage Charges will apply as per our current Rate Card (e.g. £30 per extra 10m²).

3.3 Hardware Costs: Unless explicitly included, the replacement of physical hardware (e.g. HEPA filters, expired fire extinguishers, drive belts, etc.) is chargeable in addition to the monthly retainer.

3.4 Emergency Call-Outs: Emergency mobilisations are billed separately according to the "Emergency Rate Card."

4. CLIENT OBLIGATIONS
4.1 Access: The Client must provide valid security passes and safe access to the Premises at the agreed times.

4.2 Data Backup (CRITICAL): The Client is solely responsible for backing up all data and software prior to IsoGuard entering the facility. IsoGuard accepts no liability for data loss, corruption, or server downtime.

4.3 Safety: The Client must inform us of any known hazards (e.g., exposed live cabling, loose floor tiles) before work commences. We reserve the right to suspend work if the environment is deemed unsafe.

5. LIABILITY & INDEMNITY
5.1 Insurance: IsoGuard maintains Public Liability and Professional Indemnity insurance appropriate for data centre environments.

5.2 Liability Cap: Our total liability to the Client for any claim arising out of the performance of the Services shall be limited to the total fees paid by the Client in the 12 months preceding the claim, or £1,000,000 (whichever is lower), subject to insurance coverage.

5.3 Exclusions: We shall not be liable for:

Indirect or consequential loss (including loss of profit, business interruption, or brand damage).

Hardware failure caused by pre-existing faults or age (e.g., a server fan failing due to age during a clean).

Any loss resulting from the Client’s failure to back up data (Clause 4.2).

6. HARDWARE & WARRANTY
6.1 Title: Ownership of supplied Hardware (e.g. new Fire Extinguishers) passes to the Client only upon full payment of the relevant invoice.

6.2 Warranty: We pass on the manufacturer’s warranty for any goods supplied. We do not provide a separate warranty for third-party hardware.

6.3 ISOGUARD SENTRY UNITS

Ownership: Remote monitoring units (IsoGuard Sentry) remain the sole property of IsoGuard Limited at all times.

Client Liability: The Client is responsible for the physical security of the unit while on their premises. Loss, theft, or physical damage to the unit will be charged at the full replacement cost (£460.00 per unit).

Installation Waiver: Units are installed using non-marking "Museum Putty" or adhesive strips. While every care is taken, IsoGuard accepts no liability for minor cosmetic marks to furniture or paintwork caused by the removal of these adhesives.

7. CANCELLATION & TERMINATION
7.1 Initial Term: Subscriptions are subject to a minimum initial term of 3 Months (The "Onboarding" phase).

7.2 Notice: After the initial term, the agreement rolls on a monthly basis. Either party may terminate with 30 days’ written notice.

7.3 Immediate Termination: We may terminate the agreement immediately if the Client fails to pay invoices within 14 days of the due date or breaches safety protocols.

7.4 PILOT PROGRAM CONDITIONS

Clients accepted into the "Pilot Program" (Discounted Base Rate) agree to the following strict conditions in exchange for the subsidised pricing:

Marketing Rights: The Client grants IsoGuard Limited an irrevocable, royalty-free license to use their Company Name, Logo, and a Video Testimonial for marketing purposes.

No Retraction: The Client acknowledges that they cannot retrospectively request the removal of these marketing materials after the Pilot term ends.

Minimum Term: The Pilot Program is subject to a strict 12-month minimum contract term. 

8. NON-SOLICITATION & NON-CIRCUMVENTION
8.1 Restriction: The Client agrees that during the term of this Agreement and for a period of 12 months after its termination, they shall not, directly or indirectly, employ, engage, solicit, or entice away any employee, agent, consultant, or sub-contractor of IsoGuard Limited who was involved in providing the Services or with whom the Client had contact during the Agreement.

8.2 Breach: In the event of a breach of Clause 8.1, the Client shall pay to IsoGuard Limited a fixed sum of £10,000 (Ten Thousand Pounds) per individual or entity solicited. The parties agree that this sum represents a genuine pre-estimate of the cost of recruitment, training, and lost revenue, and is not a penalty.

8.3 Referral: If the Client wishes to engage a sub-contractor introduced by IsoGuard for separate works outside the scope of this Agreement, they must do so through IsoGuard Limited, subject to our standard management fees.

9. CONFIDENTIALITY
9.1 We acknowledge that your infrastructure arrangements are commercially sensitive.

9.2 We agree to keep all site photographs, thermal images, floor layouts, and hardware configurations strictly confidential. Notwithstanding Clause 7.4, we will not disclose your identity or site details in marketing materials without your prior written consent.

10. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
